Terms of service
STIL LAB Studio, stillabstudio.com
1. About these terms
These terms apply when you use STIL LAB Studio, the platform where your photography business runs its own website and sells prints that STIL LAB makes and drop ships to your customers. "We", "us" and "our" mean Craig Madsen Photography Ltd, trading as STIL LAB, Building C319, Ballance Road, Waiouru 4826, New Zealand (NZBN 9429032609202). "You" means the business that signs up, and everyone you let use your account.
You accept these terms when you add your card for your membership, or by continuing to use the Studio after we have asked you to accept them. Our Privacy Policy explains how we handle personal information. Your Stripe account is covered by your own agreement with Stripe (section 6).
2. The Studio is for businesses
You must be 18 or older and use the Studio for a business, selling your photography to others. If you accept these terms for a business, you confirm you are allowed to bind it.
You are acquiring the Studio and our printing and delivery services for the purposes of a business. We both agree that, to the extent the law allows and it is fair and reasonable, the Consumer Guarantees Act 1993 does not apply to what we supply to you under these terms (section 43(2) of that Act). Section 14 sets out what we do promise you instead.
This does not affect your customers. They keep all their rights under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986.
3. STIL LAB Studio is in beta
We are still building the Studio. Features may be added, changed or removed, and we can't promise it will always be available or free of errors. We will tell you by email before a change that materially affects how you sell or what you pay (section 18).
4. Your membership
The plan. STIL LAB Studio is NZ$29.99 a month, GST included. The fee is payable every month, whether or not you sell anything.
Launch offers. Any launch offer shown when you signed up applies as it was shown. During the beta, that is NZ$14.99 a month for your first two calendar months. For photographers who signed up from 27 September to 26 October 2026, it is a free first month, and the two months at NZ$14.99 start after it. Months are counted from the day of your first membership charge, in New Zealand time. Your Settings page shows what you pay now, and what it changes to and when.
Other arrangements. We may agree a different arrangement with you, such as free months or a lower price. It applies once we confirm it in writing, including by email.
Paying. Your membership fee is charged to your card each month through Stripe, and Stripe sends you the invoice. Add your card before your website goes live; if your website is already live, we will give you at least 30 days' notice by email first. If a payment fails, Stripe tries again for up to about two weeks. If it still has not been paid, your website stays up but new sales pause until the invoice is paid (section 17).
Changes to the fee. We will email you at least 30 days before a new fee applies. A step already shown in your Settings, such as a launch offer ending, gets an email 7 days before. If you don't want to continue at the new fee, you can cancel before the change takes effect.
Leaving. You can cancel your membership at any time in Settings, or by emailing us. It ends at the end of the month you have paid for, and you pay nothing after it.
5. How selling works
You are the seller. Your customers buy from you, on your website, under your name. Your name is on their card receipt and statement, and on the packing slip in the parcel. Your website does not show STIL LAB's name or logo. The order emails we send for you end with a line saying STIL LAB makes and delivers your prints.
Your customers pay you. Customers pay on Stripe's secure page, straight into your own Stripe account. STIL LAB never holds your customers' money.
Our charge comes out of each payment. For each order, our charge is our price for making the items you sold, plus the shipping price for that order. Stripe takes our charge from your customer's payment when they pay, as an "application fee". Stripe also takes its own card fee from the payment, and that fee goes to Stripe, not to us. The rest is yours. We take no commission on your margin.
Example: your customer pays $250, which is $225 for a framed print plus $25 shipping. Our price for making that print is $80, so our charge is $80 + $25 = $105. You keep $145, less Stripe's fee.
Your prices. You set your own prices. The Studio shows our price for every size, paper and frame before you sell it. A price can't be lower than our price, and it must leave room for Stripe's fee. The Studio won't accept a price that doesn't. When a customer places an order, every price in it is fixed. We issue an invoice for our charge on each order, marked as paid from the sale.
Changes to our prices. We will email you at least 30 days before our prices go up. Orders already placed keep the prices fixed in them. Shipping prices follow the courier's rates and may change sooner.
GST and your tax. Our prices include GST. Your own GST, income tax and other obligations on your sales are yours to manage.
6. Your Stripe account
You connect your own Stripe account from the Studio's Payments page. Stripe asks you directly for your identity and bank details. We don't receive them, and we never ask for your Stripe login.
Payment processing is provided by Stripe and is subject to your agreement with Stripe. That agreement is between you and Stripe. You agree to give us accurate information about your business. You also allow us to share it, and information about your sales, with Stripe, so that Stripe can take payments for you.
Refunds come out of your Stripe balance. Stripe's fees, payouts, account restrictions and chargebacks are between you and Stripe. Your website takes orders only while Stripe says your account is ready to take payments.
7. Nothing is made until you send it
A payment doesn't send an order to us. You check each paid order and press Send to STIL LAB. Or you can turn on automatic sending in Settings, and then paid orders come to us without that step. Please check the address and options first: once an order reaches us, we may start making it straight away. Please send paid orders promptly. The time you take counts towards your customer's delivery time.
8. Making your prints
We print from the file you uploaded. If the paper is a different shape from your photograph, the print is cropped to fit, as the Studio shows you when you build the product. The Studio gives guidance on resolution, but the choice to sell a size is yours.
Screens vary, so a finished print can look slightly different from what you see on screen. We check every piece before it leaves us, and remake at our own cost anything that fails our checks.
Orders are usually sent within 2–5 working days of reaching us. Framed and larger pieces can take longer. These are estimates, not guarantees. We will tell you if an order is going to be much later. Please don't promise your customers a delivery date on our behalf.
9. Shipping
We drop ship each order to your customer by tracked courier, to New Zealand and Australian addresses. Your customer's shipping price is worked out at checkout for their order and address, and that price is the shipping part of our charge. If you send a checkout link with a shipping price you have set yourself, the shipping part of our charge is the price you set.
Some pieces can't be bought online, such as pieces too large to send automatically or going somewhere that needs a quote. Your website asks the customer to contact you instead, and the Studio warns you when you add such a size.
We email your customer tracking details in your name when their order is sent.
10. Faulty, damaged or lost orders
Your customer comes to you with any problem, because you are the seller. Please pass it to us at support@stillab.co.nz with the order number and photos of the piece and its packaging. For damage in transit, please do this within 7 working days of delivery, so we can claim from the courier. A fault in our work that shows up later (for example, a frame joint that fails) can be reported within a reasonable time.
- Our fault, or damaged in transit: we remake and resend the piece at our cost, or return our charge for it. We choose which, and we'll talk to you first.
- Lost in transit: once the courier confirms a parcel is lost, we remake and resend the order at our cost, or return our charge.
- Not our fault: for example, a problem with the file, a crop you approved, or a wrong address. A remake is a new order at our usual charge.
11. Refunds and cancellations
- Before you send an order to us: refund it from the Studio. Your customer is refunded in full, and our charge comes back to you with the refund. Stripe doesn't return its own fee.
- After you send it to us: the Studio warns you, because we may already have started work. If we can stop the order before production starts, we cancel it and return our charge in full. Once production has started, we keep our charge, unless section 10 applies.
- Refunds made in your Stripe Dashboard don't return our charge automatically. If you refund an order in full there before sending it to us, tell us and we'll return our charge.
Disputes and chargebacks are between you, your customer and Stripe.
12. Your responsibilities to your customers
You sell to your customers in your own name. You are responsible for:
- describing your products honestly;
- meeting your duties to them under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986 (we back you up where a problem is ours, sections 10 and 14);
- answering their questions and handling their returns and refunds. Your website shows standard returns, delivery and privacy information for you; and
- using their details only for their orders, unless they have agreed to something more.
If you sell a limited edition, you are responsible for keeping it limited. That includes not selling the same edition anywhere else.
13. Your images and copyright
You confirm you have the rights. When you upload an image or put it on sale, you confirm that you own the copyright in it, or that the copyright owner has given you permission to sell prints of it. This includes any people, artwork, logos, buildings or other material that appear in it. Where the law requires consent from an identifiable person in a photograph, you have it. You always have it for a child (from their parent or guardian) or for a photograph taken in a private setting.
You are responsible for what you upload. We print and publish what you upload and do not check who owns it. STIL LAB is not responsible for any breach of copyright or other rights in your images or website content. If anyone makes a claim against STIL LAB because of an image or content you provided, you agree to cover our reasonable costs from that claim, including legal costs. Please tell us straight away if anyone challenges your right to use an image.
You keep your copyright. You allow us to use your images and content only to run the Studio for you. That means storing your files, making web-sized copies for your website and the Studio, and printing, framing and delivering your orders. Our staff may look at your website and images to approve and support your account, and open an ordered image's original file to make the order. We won't use your images to promote STIL LAB without your permission.
Protection has limits. Your original files stay in private storage. Your website shows smaller web copies only, and discourages saving them. But nobody can stop someone taking a screenshot.
14. Our promises, and the limits of our liability
What we promise. We will provide the Studio with reasonable care and skill, and make each order to the specification fixed in it.
Claims caused by our work. If one of your customers, or anyone else, makes a claim against you because of how we made, packed or delivered an order, we will cover your reasonable costs from that claim. Section 13 works the same way the other way round: you cover claims caused by your images and content. Each of these is reduced to the extent the other side caused the problem.
Limits. To the extent the law allows:
- for a claim about an order, our total liability is limited to our charge for that order;
- for any other claim, our total liability is limited to the membership fees you paid in the 12 months before the claim;
- we are not liable for indirect losses, such as lost profits, lost sales or lost business opportunities; and
- we are not responsible for Stripe's services and decisions, or for delays caused by events outside our reasonable control, such as courier or network failures, power cuts or natural disasters.
These limits don't apply to fraud or to anything that can't be limited by law.
Keep your own copies. We keep one copy of each original file you upload, but we can't guarantee to keep files forever. Please keep your own copies of your originals.
15. Content we won't host or print
You must not use the Studio to publish, sell or send anything that infringes someone else's rights, is objectionable, defamatory or otherwise unlawful, is a harmful digital communication, or is misleading.
If we receive a complaint, or have reason to believe content breaks this section, we may ask you to remove it, refuse or stop an order, or take the content down. For complaints under the Harmful Digital Communications Act 2015, we follow the process that Act sets out. If we refuse or stop an order before production starts, we return our charge in full and you refund your customer.
16. Using the Studio fairly
Please don't try to reach another photographer's account or data, test or get around the Studio's security, overload it, scrape it, or use it for spam or anything unlawful. Please report a security concern to us instead. Sign-in links we email you work like keys: anyone who has one can use it, so please keep your email account secure and don't forward them. You are responsible for what the people on your account do in the Studio.
17. Suspension and closing your account
Unpaid membership. If your membership is unpaid after Stripe's retries (about two weeks), new sales pause and your website stays up. Paying the invoice restarts sales. We do not take your website offline for an unpaid membership alone.
We may suspend or close your account if you seriously or repeatedly breach these terms, there is fraud or a security risk, or the law requires it. Unless the matter is urgent, we will first tell you what the problem is and give you 10 working days to put it right.
While your account is suspended or closed, your website goes offline. If you had paid orders you hadn't sent us, we will either make and deliver them, or refund your customers from your Stripe account and return our charge. We will tell you which.
When you close your account, please send or refund any paid orders first. Orders you have already sent to us will still be made and delivered. Your Stripe account stays yours.
18. Changes to these terms
We may update these terms. We will email you at least 30 days before a change that affects you, unless the law or an urgent security need requires it sooner. If you don't agree with a change, you can close your account before it takes effect, and you won't pay any membership fee after you close.
19. Privacy
We handle personal information about you, the people on your account and your customers under the Privacy Act 2020, as our Privacy Policy explains. We use your customers' details only to run your website and checkout, and to make, deliver and support their orders. We don't sell anyone's details or use them for our own marketing. If a privacy breach affects your customers' details in the Studio, we will tell you promptly.
20. Problems and disputes
If something isn't right, please contact us first at support@stillab.co.nz or 027 539 7510, and we'll do our best to sort it out. If we can't agree, either of us can take the matter to the Disputes Tribunal or another New Zealand court or tribunal.
These terms are governed by New Zealand law. You and STIL LAB are independent businesses. These terms are the whole agreement between us about the Studio. If any part can't be enforced, the rest still applies.
